STACEY A. SULLIVAN practices as a partner of the firm in the areas of real estate law, general business and corporate law, taxation and estate planning.

Ms. Sullivan’s primary practice involves the representation of property owners, borrowers, lenders and tenants in a variety of commercial real estate transactions, including real estate acquisitions, dispositions, finance, leasing, land use, construction and development.  She has extensive experience negotiating and documenting corporate transactions of all types, including acquisitions, dispositions, and mergers, as well as in the formation and dissolution of all types of legal entities, including limited liability companies, corporations, limited liability partnerships, limited partnerships and general partnerships.  Ms. Sullivan regularly counsels clients on a variety of tax issues, including property, corporate, partnership, income and estate taxes, as well as represented clients in connection with their estate planning needs.

Ms. Sullivan graduated magna cum laude from the University of California at Los Angeles in 1990 with a Bachelor of Arts degree in Economics/Business. She is a member of Phi Beta Kappa.  She received her Juris Doctor degree in 1996, graduating magna cum laude from the University of California, Hastings College of the Law. At Hastings, Ms. Sullivan was an editor of the Hastings Law Journal. She is a member of the Order of the Coif and is a recipient of the American Jurisprudence Awards in Legal Writing and Research, Criminal Law and Constitutional Law.

Prior to the practice of law, Ms. Sullivan practiced as a Certified Public Accountant with Ernst & Young.

STACEY A. SULLIVAN practices as a partner of the firm in the areas of real estate law, general business and corporate law, taxation and estate planning.  Ms. Sullivan applies her extensive knowledge of multiple areas of the law to provide her clients with comprehensive legal advice as they negotiate and execute a variety of business and real estate transactions.

Ms. Sullivan’s primary practice involves the representation of property owners, borrowers, lenders and tenants in a variety of commercial real estate transactions, including real estate acquisitions, dispositions, finance, leasing, land use, construction and development.  Her real estate practice often involves advising in tax-deferred exchanges of real property, both under Internal Revenue Code Section 1031 and 1033.  She has significant experience in advising her clients concerning issues involving property contaminated by hazardous materials.

As part of her corporate practice, she has extensive experience negotiating and documenting corporate transactions of all types, including acquisitions, dispositions, and mergers, as well as in the formation and dissolution of all types of legal entities, including limited liability companies, corporations, limited liability partnerships, limited partnerships and general partnerships.

With a broad range of clients and transactions, Ms. Sullivan regularly counsels clients with respect to a variety of tax issues, including property, corporate, partnership, income and estate taxes.  She has counseled clients in connection with their estate planning needs.  Transactions are often structured in a tax advantaged manner, including tax deferred exchanges and complex ownership structures.

Ms. Sullivan graduated magna cum laude from the University of California at Los Angeles in 1990 with a Bachelor of Arts degree in Economics/Business. Ms. Sullivan also served as a Judicial Extern to the Honorable Kathryn Mickle Werdegar, Associate Justice, California Supreme Court.  She was admitted to the California bar in 1996.

Prior to the practice of law, Ms. Sullivan practiced as a Certified Public Accountant with Ernst & Young.  Her professional affiliations include the American Institute of Certified Public Accountants, the California Society of Certified Public Accountants, the American Association of Attorney Certified Public Accountants, the American Bar Association, the State Bar of California, the Los Angeles County Bar Association, Women Lawyers Association of Los Angeles and the Irish American Bar Association.

Ms. Sullivan has frequently been on the list of Southern California’s Rising Stars.

City Development Agreement Mixed Use Site

Drafted and negotiated a development agreement with the City of Anaheim, which provided for the development of a mixed use site, including office, retail, hotel and apartment components.

Landlord Long-term Lease

Represented landlord in the negotiation of a long-term lease of an industrial property to be used as a charter school.

Luxury Residence Sale

Negotiated the purchase and sale agreements and handled escrow and closing on behalf of several high profile entertainment clients, both as sellers and buyers of luxury residential homes.

Stock Purchase Agreement

Negotiated on behalf of the purchaser a stock purchase agreement for the purchase of a foreign language academy.

Commercial Property Sale Eminent Domain

Represented the seller in complex negotiations for the sale of commercial property to the City of Santa Monica under threat of eminent domain.  The site was the planned station for the Expo Line, a light rail line currently under construction in the Los Angeles County Metro Rail System.

Commercial Property Sale

Negotiated and handled the closing of a sale of two commercial properties among co-owners previously adverse to each other in litigation.

Commercial Property Purchase Closing

Negotiated a purchase agreement and handled the closing of the sale of commercial property under threat of condemnation, among multiple Taiwanese individuals, as sellers, and the school district, as buyer.
