OVERVIEW

Transactional attorney Stacey A. Sullivan advises her clients on real estate, corporate, tax, and trust administration matters.

A former CPA with a broad transactional background, Stacey applies her extensive knowledge of the law to provide her clients with comprehensive legal advice, often navigating complex issues in a variety of business and real estate transactions.

Stacey’s practice focuses on representing property owners, investors, borrowers, lenders, and tenants in all types of real estate, including industrial, commercial, office, retail, and residential, in commercial real estate transactions. These include:

In addition, Stacey advises clients on appropriate ownership structures to accomplish tax and liability objectives, as well as tax-deferred exchanges of real property under Internal Revenue Code Sections 1031 and 1033.

A skilled deal negotiator, Stacey works closely with clients to procure favorable terms for their transactions, guiding them through the complexities of due diligence and closing transactions, such as title, survey, environmental, zoning, and tax. Her pragmatic approach and cost-efficient manner support her achievement of clients’ business objectives.

Corporate, Tax, and Trusts and Estates Counsel

Stacey also has extensive experience negotiating and documenting a range of corporate transactions, from acquisitions and dispositions to conversions and mergers. She advises on the formation, operations, and dissolution of legal entities, including limited liability companies and partnerships, corporations, and limited and general partnerships.

Within the areas of tax, estate planning, and corporate concerns, Stacey often advises trustees, executors, trust and estate beneficiaries, and private foundations on real estate, corporate, and tax issues. She adeptly navigates and negotiates complex ownership issues amidst family disputes and participates in mediations to structure advantageous settlements of her clients’ disputes.

Experienced with a range of clients and transactions, Stacey regularly counsels clients on tax issues, including property, corporate, partnership, income, and estate taxes. She structures transactions in a tax-advantaged manner, including tax-deferred exchanges and complex ownership structures.

Prior to the practice of law, Stacey practiced as a certified public accountant with Ernst & Young. She is a longstanding member of the American Academy of Attorney-Certified Public Accountants (AAA-CPA).

Stacey is a magna cum laude graduate of the University of California, Hastings College of the Law (now UC Law San Francisco), where she was an editor of the Hastings Law Journal and was Order of the Coif. She also served as a judicial extern to the Honorable Kathryn Mickle Werdegar, former Associate Justice of the Supreme Court of California. Stacey was recognized in 2024 as a “Woman of Influence: Attorneys” by the Los Angeles Business Journal.

Advised client in the sale of approx. $8.5M commercial property and purchase of three separate industrial parks in Southern California in separate 1031 exchange transactions.

Represent owners of significant oil and gas use landholdings in Los Angeles County in connection with various real estate, land use, title, property tax, oil and gas, redevelopment, and corporate work.

Led tenant-in-common owners in 1031 exchange involving a 4-property portfolio of industrial, retail and apartment properties.
